Shelter Distribution is one of the largest distributors of roofing products and related accessories in the Midwest and Southwest. At the time of its sale in 2005 the company operated 50 branches in 14 states. Shelter offers a comprehensive line of residential and commercial roofing products and accessories as well as siding, windows, doors and other building product materials. Shelter focuses primarily on the re-roofing, or retrofit, market which positions the Company to benefit from the continued growth and strong underlying fundamentals of the retrofit market. A majority of the Company’s sales are to the residential market with the balance represented by commercial sales.

Background to the Transaction

Founded in 1996, Shelter had grown into one of the leading wholesale distributors of roofing products and related accessories in the Midwest. Brazos, together with a management partner in Building Products, approached the ownership group of Shelter regarding their interest in selling the business. Attracted by the opportunity to accelerate the growth and enhance the profitability of the business via a synergistic buy-and-build strategy, Brazos was able to successfully close the transaction in the Fall of 2002.
