Strategic Equipment & Supply Corporation is one of the largest full-service providers of foodservice equipment, supply and design solutions to restaurants and foodservice providers in the United States. SESC provides complete turnkey foodservice equipment solutions to a highly diversified base of restaurant, retail, commercial, educational, healthcare and other institutional customers across the country; serving as a single source of supply from concept design, distribution and installation to on-going replenishment, maintenance, repair, leasing and other services. The Company provides its customers with a comprehensive portfolio of over 50,000 premium foodservice equipment products through a national footprint of distribution facilities strategically located across the country.

Background to the Transaction

SESC was founded in 2000 when six independent, regionally-focused foodservice equipment and service businesses were combined through a recapitalization transaction. Over the next several years, SESC was unable to realize the expected efficiencies from integrating the various legacy businesses and remained decentralized. By 2004, the private investment group owner sought to sell the Company to avoid impending liquidity constraints. Brazos was attracted to the situation due to its knowledge of and success in the restaurant industry, and the opportunity to drive profitability through operational enhancement and buy-and-build strategy. In February 2005, Brazos completed a majority recapitalization of the business.
